In December 2005, Trubion entered into a collaboration agreement with Wyeth for the development and worldwide commercialization of CD20-directed therapies, including our lead candidate, TRU-015.
Trubion’s pipeline now includes two alliance-based compounds under development for the treatment of autoimmune and inflammatory diseases: TRU-015 and SBI-087. Trubion and Wyeth are leveraging Trubion’s SMIP™ technology to create a portfolio of additional product candidates with customized mechanisms of action in an effort to optimize patient safety, efficacy and convenience.
We are also collaborating with Wyeth on the development and worldwide commercialization of other SMIP™ product candidates that target antigens other than CD20. We have the option to co-promote with Wyeth, on customary terms, CD20-directed therapies in the United States for niche indications.
Facet Biotech – CD37 Directed Therapeutics
In August 2009, we entered into an agreement Facet Biotech for the joint worldwide development and commercialization of TRU-016, a product candidate in phase 1 clinical development for CLL. Under the terms of the collaboration agreement, we received an upfront payment of $20 million and may receive up to $176.5 million in additional contingent payments upon the achievement of certain development, regulatory and sales milestones. The companies will share equally the costs of all development, commercialization and promotional activities and all global operating profits. In addition, Facet purchased 2,243,649 shares of newly issued Trubion common stock for an aggregate purchase price of $10 million.
